LOCATION

Peaceful Valley is ideally located on Highway 72 between Nederland and Allenspark. From Denver: North on I-25 to Highway 66, go west through Lyons to Highway 7, go approximately 15 miles to Highway 72, then left 3.5 miles. Denver International Airport is approximately 90 minutes away. From Black Hawk: take Highway 119 North to Nederland, then Highway 72 North to the ranch. Estes Park, the gateway to Rocky Mountain National Park, is 25 miles north of the ranch via Highway 7.

GENERAL DESCRIPTION

The ranch, was once known as Wildcat Gulch, a stage coach stop in the 1880s, has been operating for 57 years and consists of approximately 236 acres, most of which is bordered by 800,000 acres of ruggedly beautiful Roosevelt National Forest land. The ranch is mostly tree covered (sub-alpine) with meadows interspersed, and views from the upper reaches of the ranch of some of the highest and most majestic alpine (above tree level) peaks in the Rocky Mountains. These distant vistas include world famous Longs Peak and Mount Meeker, both of which are in Rocky Mountain National Park. Also seen are the Indian Peaks Wilderness and the eastern view of the Continental Divide.

The Middle Fork of the South Saint Vrain River courses through the main body of the ranch, adding to the ambiance of the setting where the primary improvements are situated. The river provides some very good fly fishing opportunities for the more experienced fisherman. In addition, there is a 1-1/2 acre stocked fishing pond near the lodge for children and adults. As the ranch is located off of the well maintained Peak to Peak Highway it is accessible year-round.

IMPROVEMENTS

The Main Lodge is the focal point on the ranch. As you enter you are in the main reception area which has a cozy sitting area. There is a spacious office area behind the beautiful new reception desk, and on the opposite side of the reception area is a convenient, well stocked, gift shop. The coffee shop, where the pot is always on has vending machines for sodas and snacks, and a computer and printer for guest use.

On the way to the river side of the lodge, where you will find the two main dining rooms, sun room, and the overlook room, you will pass through the large dance hall. There are views of the river from each of the dining rooms. Seating capacity is approximately 150 people when seated banquet style. Other, more intimate or formal, table configurations
will seat a few less people. There are 19 guest rooms on three levels in the lodge and a lounge with a large screen TV, player piano, and a beautiful native stone fireplace.

A large heated indoor swimming pool, wading area and large hot tub are housed in a building which adjoins, and can be accessed through the lodge or riverside patio. An executive workout room is conveniently located in the main lodge.

The bar / lounge area known as the Rusty Spur, which is located on the lower level of the lodge, has a full liquor license. A pool table and TV are provided for the guests entertainment. The riverside deck adds to the ambiance of the room. Some of this space doubles as a conference room. See a description in the next paragraph.

CONFERENCE CENTER AND LODGE MEETING ROOMS

There are four meeting / breakout rooms in the conference center ranging in size from approximately 530 sq. ft. to 1,500 sq. ft. The largest room known as the Corral has a seating capacity of 100 in a classroom configuration. There is a food service / preparation room on the main level, and a storage room for audio / visual and other equipment. In addition there is an office for the Conference Coordinator, and a second room for office supplies which includes a fax machine for conference group use. There are four executive guest rooms in the Conference Center, two on each level.

And, there is substantial other meeting space on the lower level of the main lodge totaling about 1,400 sq. ft., in two rooms. In the larger room known as the Rusty Spur seating capacity is approximately 50, the smaller Cascade room, which overlooks the river, will seat 20. Seating capacities are estimated in a classroom configuration. All meeting rooms will seat larger numbers if set up in theater fashion.

WEDDING SITES

The Chapel, which can seat up to 80, sits on top of a mountain overlooking Continental Divide and the primary improvements. The Mountain Top site offers breathtaking views and will seat up to 200 people. In addition there is a reception area with a covered 40 x 40 deck, which is used for dining and dancing, and there are two flush toilets for the guests convenience. The Meadow site, nestled in a grove of Aspen trees, near the main lodge, will accommodate up to 250 for a ceremony.

CIMMORON LODGE

This lodge has approximately 4,260 sq. ft. with 12 spacious guest rooms all with two queen beds. Six of the rooms overlook the tumbling river. Additionally, two of the rooms have pull-outs, and small seating areas. Two rooms are semi-handicap rooms.

CABINS

There are 11 guest cabins ranging in size from 384 sq. ft. to 2,785 sq. ft. and have one, two, or three bedrooms. Each cabin has a private bathroom (s), fireplace in the living room and a hot-tub. All cabins come equipped with a microwave, refrigerator and a coffee maker. There are approximately 62 guest bedrooms and a total of 100 beds, most of which are queen size. The Buffalo Run cabin has 10 bedrooms which includes three jack and jill units and four single units. In addition there is a large living room area with a guest restroom.

OWNERS HOME

Located on the opposite side of the river from the main improvements.
The two-level house has two bedrooms and one bathroom on each level, full kitchen, a fireplace in the living room, hot-tub, and two decks overlooking the river.

GM QUARTERS

On the upper level of the general managers quarters, which are attached to the lodge, has a spacious living room / dining area, a master bedroom with a walk-in cedar closet and a gas fireplace. On the walk-out lower level there are three bedrooms, two bathrooms, laundry room and an attached two car garage.

STAFF HOUSING

The ranch provides housing for up to 50 individuals. Included are six private apartments for key personnel.

EQUESTRIAN CENTER / INDOOR ARENA

Built in 2008 is 63 ft. x 220 ft. (13,860 sq. ft.) with metal siding and roof. There is room enough for a 60 ft. x 180 ft. indoor arena and a 20 ft. x 63 ft. (1,260 sq. ft.) area has been reserved for a restaurant / bar and restrooms. Bleacher seating overlooks the indoor arena. The center is fully insulated. Adjoining the arena, on one side, are the following: 52 x 34 (1,768 sq. ft.) area with 10 stalls and a 40 x 28 (1,120 sq. ft.) snowmobile storage area. A building known as Mid Barn, 40 x 40 (1,600 sq. ft.) includes the 40 x 20 (800 sq. ft.) Saloon and a 40x 20 (800 sq. ft.) activities and storage area. Adjoining the mid barn is a second stall barn 52 x 34 (1,768 sq. ft.) with nine stalls (10 x 12) and a 34 x 24 (816 sq. ft.) tack room. Both stall barns have a concrete center isle and thick rubber mats over gravel in each stall. The 40 x 28 (1,120 sq. ft) Upper Barn / Garage is used for vehicle and other mechanized equipment parking.

ACTIVITIES

The number of activities the ranch, and the general area, offers is almost endless; horseback riding, fly fishing, biking (road and mountain), swimming, tennis, golfing, hiking, mountain climbing, cross-country skiing, down-hill skiing, snowmobiling, workout room, climbing wall, corporate / guest rodeos, and more.

BROKER COMMENTS

For many years the primary focus of the ranch was on dude ranch vacations with the primary activity being horseback riding. Prior to the current owners buying the ranch, the previous owners saw that there was a demand for a conference center, which they subsequently constructed, and the increasing number of weddings they were hosting lead them to building a chapel on the mountain, overlooking the main body of the ranch. The views from the chapel are some of the most awe inspiring in all of the Rocky Mountains.

MINERAL RIGHTS AND WATER RIGHTS

All mineral rights and water rights appurtenant to the property and owned by the Seller will be conveyed. A state-of-the-art sewage treatment facility will be completed in the spring of 2011.
